Professional Agreement

1. Collection on the professional's behalf

When you create PIX or card charges, you authorize Nheva to collect the amounts paid by your clients on your behalf and to pay them out to you, minus the fees below. Card payments are processed by Stripe and PIX payments by MisticPay, in Nheva's accounts.

2. Fees

Each payment received is subject to the payment method fee and the Nheva platform fee, at the rates in effect on the payment date and shown in Settings › Payments and in your Wallet. The fees of each payment are recorded and don't change afterwards. Fee changes apply only to future payments and will be announced in advance.

3. Wallet and payouts

• The net amount of each payment is credited to your Wallet, where you follow receipts, fees and payouts.
• Nheva transfers the balance to the PIX key or bank account registered in the Wallet, which must be in your name (CPF) or the practice's (CNPJ). Changes to these details are logged and announced to you; payouts may be held for confirmation after a recent change.
• Refunds and disputes reduce the balance. If the balance becomes negative, it is offset by the following payments.
• Nheva may hold payouts in case of well-founded suspicion of fraud, a court order or a breach of the Terms, informing you.

4. Tax obligations

You are responsible for the receipts or invoices for the services you provide to your clients and for the taxes on your income. Nheva issues the tax documents for its own fees and subscription.

5. Processing of client data (Nheva as processor)

For client data, you are the controller and Nheva is the processor (art. 39 of the LGPD). Nheva undertakes to:

• process the data only to provide the service and according to your instructions recorded in the platform;
• maintain the security measures described in the Privacy Policy, including encryption and logging of access to records;
• require confidentiality from anyone with access and not allow the Nheva team to access records;
• use only the sub-processors listed in the Privacy Policy, with equivalent obligations, and announce relevant changes;
• notify you within a reasonable time of security incidents that may affect your clients;
• help you respond to requests from data subjects and the ANPD;
• at the end of the contract, keep clinical records for the period required by professional rules, deliver them to you on request and then delete or anonymize them.

You guarantee that you have a legal basis to process your clients' data and that you inform them about the use of Nheva.

6. Term

This Agreement applies while you use the platform and, regarding data and outstanding balances, until they are settled.
